You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. You may not use the Service if you are barred under applicable law or were previously suspended.

You are responsible for all activity under your account. Keep your password confidential and notify us promptly of suspected unauthorised access.

Creators warrant that profile information, rates and portfolio materials are truthful to the best of their knowledge and that they have all rights necessary to display and license work shown on SoriVibe.

Brands warrant that briefs, brand names and materials they upload do not infringe third-party rights or violate advertising, consumer protection or employment laws.

Marketplace role — we are not your agent

SoriVibe provides a venue for discovery and communication. We are not a party to contracts between creators and brands unless we expressly say so in a separate written agreement.

We do not employ creators, and we do not guarantee that any user will find work, fill a brief, meet deadlines or pay invoices. Hiring decisions, scope, fees, revisions, approvals and deliverables are solely between the parties.

Any sample agreements, pricing guidance or tools in the Service are for convenience only and do not constitute legal, tax or financial advice.

User content & licences

You retain ownership of content you submit. You grant SoriVibe a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, distribute and adapt your content as needed to operate, promote and improve the Service (including thumbnails, search indexing and backups).

You grant other users the licences required to evaluate and complete projects you agree to — for example, reviewing a portfolio or using delivered assets per an agreed brief.

You may not upload content that is illegal, defamatory, obscene, harassing, discriminatory, misleading or that infringes intellectual property or privacy rights.

Acceptable use

• No circumvention of fees, identity checks or safety systems
• No scraping, bulk harvesting of data or automated account creation without permission
• No impersonation, fake reviews or manipulated metrics
• No malware, phishing or attempts to disrupt the Service
• No off-platform payment schemes intended to avoid platform rules when in-product payments are required
• Compliance with sanctions, export controls and anti-bribery laws where applicable

Subscriptions, projects & taxes

Creator and brand subscription fees (Free, Pro, Business and any future tiers) are described on our pricing page. Prices may change with notice where required by law.

Project payments, escrow, chargebacks and payout timing will be governed by separate payment terms when those features launch. Until then, any payment arrangement is directly between creator and brand at their own risk.

Each party is responsible for its own taxes, duties and reporting obligations arising from income or spend facilitated through or outside the Service.

Enforcement

We may investigate suspected violations and remove content, limit visibility, suspend or terminate accounts, or cooperate with authorities — with or without notice where permitted by law.

We are not obligated to monitor all user activity. Failure to act on a particular issue does not waive our right to act later.

SoriVibe intellectual property

The Service, including software, design, logos and documentation (excluding user content), is owned by SoriVibe or its licensors and protected by intellectual property laws. You receive a limited, revocable licence to use the Service as intended. You may not copy, modify or create derivative works except as allowed by law.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure or error-free, that defects will be corrected, or that listings, profiles or briefs are accurate, lawful or suitable for your needs.

Any material downloaded or obtained through the Service is at your own discretion and risk.

Limitation of liability — no responsibility

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SORIVIBE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

SORIVIBE IS NOT RESPONSIBLE FOR THE CONDUCT, CONTENT, DELIVERABLES, PAYMENT DEFAULTS, DISPUTES, INJURIES OR LEGAL VIOLATIONS OF ANY USER OR THIRD PARTY. YOU ENGAGE OTHER USERS AT YOUR OWN RISK.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SORIVIBE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

Some jurisdictions do not allow certain exclusions or limits; in those cases, our liability is limited to the fullest extent permitted by law.

Indemnity

You agree to defend, indemnify and hold harmless SoriVibe and its affiliates from claims, damages, losses and expenses (including reasonable legal fees) arising from your content, your use of the Service, your projects with other users, or your violation of these Terms or applicable law.

Disputes between users & governing law

Disputes between creators and brands should be resolved directly between those parties. SoriVibe may, but is not obliged to, offer informal assistance or dispute tools in the future.

These Terms are governed by the laws specified in our final operating entity documents (to be published at launch), without regard to conflict-of-law rules. Venue for disputes will be stated in the launch version of these Terms.

Changes & contact

We may modify the Service or these Terms at any time. Material changes will be posted with an updated date. Continued use after changes become effective constitutes acceptance where permitted by law.
